Remarks:
The shares reported in Table I were granted pursuant to an Employment Agreement dated April 22, 2008, with subsequent vesting and issue dates, subject to Mr. Gauthier's employment not having been terminated, as follows: 25% of the shares will be vested and issued to Mr. Gauthier on April 28, 2009 and 2010, and the remaining 50% of the shares will be vested and issued to Mr. Gauthier on April 28, 2011.
